Terms and Conditions

Universal Industries Australia P/L t/as A Grade Upholstery -


1. ACCEPTANCE OF TERMS

By accepting this quote or proceeding with payment of this invoice, you agree to be bound by these terms and conditions. These terms apply to all goods and services provided by Universal Industries Australia P/L t/as A Grade Upholstery.


2. QUOTES AND PRICING

2.1 All quotes are valid for 90 days from the date of issue unless otherwise specified.


2.2 Quoted prices are based on materials and labour costs current at the time of quotation and may be subject to variation if materials costs increase before commencement of work.


2.3 All prices include GST where applicable and are in Australian dollars.


2.4 Additional work requested outside the original scope will be charged separately and requires written approval.


3. PAYMENT TERMS

3.1 For Quotes: A deposit of 50% of the quoted amount is required before commencement of work, with the balance due upon completion unless otherwise agreed upon in writing.


3.2 For Invoices: Payment is due within 14 days from the date of invoice unless otherwise agreed in writing.


3.3 Payment methods accepted include cash, bank transfer, or credit card. Credit card payments may incur a surcharge.


3.4 Late payment may incur interest charges of 2% per month on overdue amounts.


4. MATERIALS AND FABRIC

4.1 Client-supplied materials must be delivered before commencement of work. We are not responsible for delays caused by late delivery of materials.


4.2 We cannot guarantee the suitability or durability of client-supplied materials.


4.3 Where we supply materials, a manufacturer or wholesaler 12-month warranty on fabric defects will apply (excluding normal wear and tear).


4.4 Fabric patterns and colours may vary slightly from samples due to dye lot variations.


4.5 Additional fabric may be required for pattern matching which will be charged at standard retail cost.


5. WORKMANSHIP AND WARRANTIES

5.1 We warrant our workmanship for 12 months from completion date against defects in materials and workmanship under normal use.


5.2 This warranty does not cover damage from other tradesmen, misuse, accidents, normal wear and tear, or damage caused by pets, children, or improper cleaning.


5.3 Our liability is limited to repairing or replacing defective work at our discretion.


6. DELIVERY AND COLLECTION

6.1 Collection and delivery/installation services are available for an additional charge, unless stated otherwise on quote.


6.2 Risk passes to the client upon installation or collection of completed items.


6.3 We will arrange a mutually convenient time for installation/collection. If the client is unavailable at the arranged time, additional delivery charges or costs may apply.


6.4 Items must be inspected upon installation/collection. Any concerns must be reported within 48 hours.


7. STORAGE AND INSURANCE

7.1 Items left on our premises are stored at the client's risk. We recommend adequate insurance coverage.


7.2 While we take reasonable care of items in our possession, we are not liable for damage caused by fire, flood, theft, or other circumstances beyond our control.


7.3 Items not collected within 90 days of completion notice may be disposed of at our discretion, with any proceeds applied to outstanding accounts.


8. CANCELLATION AND VARIATIONS

8.1 Cancellation of orders must be in writing. Cancellation fees may apply for work already commenced or materials ordered.


8.2 Variations to agreed work must be approved in writing and may affect the quoted price and completion time.


9. FORCE MAJEURE

We are not liable for delays or inability to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government restrictions, or material supply disruptions.


10. PRIVACY

Personal information collected is used solely for the purpose of providing our services and will be handled in accordance with Australian Privacy Principles.


11. DISPUTE RESOLUTION

11.1 Any disputes will first be addressed through direct negotiation in good faith.


11.2 If resolution cannot be achieved, disputes may be referred to Consumer Affairs Victoria or appropriate alternative dispute resolution services.


11.3 These terms are governed by Victorian and Australian law.


12. LIABILITY LIMITATIONS

12.1 Our total liability for any claim is limited to the value of the specific work performed.


12.2 We exclude liability for consequential or indirect losses to the maximum extent permitted by law.


12.3 Nothing in these terms excludes rights under the Australian Consumer Law that cannot be excluded.


13. GENERAL CONDITIONS

13.1 These terms may only be modified in writing and signed by both parties.


13.2 If any provision is found to be unenforceable, the remainder of these terms remains in full effect.


13.3 Universal Industries Australia P/L t/as A Grade Upholstery reserves the right to refuse service at its discretion.


13.4 Ownership of goods remains with Universal Industries Australia P/L t/as A Grade Upholstery until full payment is received.


CONSUMER RIGHTS NOTICE

Under the Australian Consumer Law, you have guaranteed rights for goods and services. These terms and conditions do not limit or exclude any rights you may have under the Australian Consumer Law or other applicable consumer protection laws.

agree to these terms and conditions.
